Terms of Service

These Terms govern your use of OmniGrade (the “Service”), operated by Omnissiah Tech, LLC (“OmniGrade”, “we”, “us”). By signing in or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. The Service
OmniGrade discovers engineering job postings from third-party sources, scores them against the CV and preferences you provide, and delivers a daily email digest of matches. The Service is currently provided free of charge. We may introduce paid features in the future; if we do, the paid terms will be presented to you before you opt in.
2. Eligibility and account
You must be at least 16 years old to use the Service. You authenticate with Google, which means your account is tied to your Google email address. You are responsible for keeping your Google account secure and for all activity under your OmniGrade account. You agree to provide accurate information (including in your CV and preferences) and to update it when it becomes inaccurate.
3. Your content and the license you grant us
You retain ownership of the CV and any other content you upload or enter (“Your Content”). To operate the Service for you, you grant us a worldwide, non-exclusive, royalty-free license to host, store, process, analyze, and display Your Content solely for the purpose of providing the Service — including extracting structured fields from your CV, scoring jobs against it, and generating your digest. This license ends when you delete Your Content or your account, subject to the retention periods described in our Privacy Policy.
We do not claim ownership of Your Content and we do not use it to train machine-learning models.
4. Acceptable use
You agree not to:
- Create accounts by automated means, or impersonate another person.
- Upload content that is not yours, that is unlawful, or that infringes another person’s rights.
- Scrape, crawl, or programmatically extract data from the Service or from your digest emails, or republish or resell that data.
- Reverse-engineer, decompile, or attempt to derive the source code of the Service.
- Probe, scan, or test the vulnerability of the Service, or interfere with its operation (including via automation or denial-of-service techniques).
- Use the Service to send spam, harass other users, or violate applicable law.
We may suspend or terminate accounts that violate these rules.
5. Third-party job listings
Job postings surfaced by the Service originate from third-party sources, including applicant tracking systems such as Greenhouse, Lever, and Ashby, and discovery sources such as Hacker News, a16z, and Y Combinator. We do not employ, endorse, or represent the companies hiring. We do not guarantee:
- That any posting is currently open, accurate, or lawful;
- That the compensation, location, or other details shown are correct;
- That you will receive a response, interview, or offer.
All interactions, applications, and agreements with employers are between you and the employer directly. We are not a party to them.
6. Automated scoring disclaimer
Relevance scores, skill matches, and CV extractions produced by the Service are generated by large language models and rule-based heuristics. They are automated estimates, not professional career advice, and they can be wrong. You should not rely on them as the sole basis for any career decision.
7. Our intellectual property
The Service, including its software, design, text, and trademarks (“OmniGrade” and the OmniGrade logo), is owned by Omnissiah Tech, LLC and its licensors. Except for the limited right to use the Service as described in these Terms, we grant you no rights in or to our intellectual property.
8. Termination
You may stop using the Service at any time and request account deletion as described in the Privacy Policy. We may suspend or terminate your account, with or without notice, if you violate these Terms, if required by law, or if continuing to provide the Service to you becomes impractical for us. We may also discontinue all or part of the Service. Sections that by their nature should survive termination (for example, sections 7, 9, 10, 11, 13, and 14) will survive.
9. Disclaimer of warranties
Some jurisdictions do not allow the exclusion of certain warranties; in those jurisdictions the exclusions above apply only to the fullest extent permitted.
10. Limitation of liability
Nothing in these Terms limits liability that cannot be limited under applicable law (for example, liability for gross negligence, willful misconduct, or statutory consumer rights in your jurisdiction).
11. Indemnification
You agree to indemnify and hold harmless Omnissiah Tech, LLC from any third-party claims, damages, and reasonable costs (including attorneys’ fees) arising out of your violation of these Terms, your misuse of the Service, or content you provide that infringes another person’s rights.
12. Changes to the Service and these Terms
We may change the Service at any time. If we make material changes to these Terms, we will update the “Effective” date above and notify active users by email at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not accept them, you can stop using the Service and request deletion of your account.
13. Governing law and venue
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Service shall be brought exclusively in the state or federal courts located in New Castle County, Delaware, and you consent to personal jurisdiction there. You and OmniGrade each waive any right to a jury trial to the fullest extent permitted by law.
If you are a consumer based in the EU/EEA, UK, or Switzerland, mandatory consumer-protection rules of your country of residence may also give you rights that cannot be overridden by this section.
14. Miscellaneous
- Entire agreement. These Terms, together with the Privacy Policy, are the entire agreement between you and OmniGrade regarding the Service.
- Severability. If any provision is found unenforceable, the remaining provisions stay in effect.
- No waiver. Our failure to enforce a provision is not a waiver of our right to enforce it later.
- Assignment. You may not assign these Terms without our consent. We may assign them to an affiliate or successor.
- No agency. These Terms do not create an employment, agency, partnership, or joint-venture relationship.
